This is an agreement between you (“user”) and Right Stuff Traders LLC d/b/a Airport Rides (with its affiliates and/or aliases, “Airport Rides” or “we” or “us” or “our”). Please read these Terms & Conditions of Use, our Privacy Notice, and the other applicable rules, policies, and terms available under the policies section of our website, or on or through our Software (collectively, this “Agreement”) before using our platform & services (hereinafter ‘services’).

    You may only use our services if you are at least 18 years old and have legal capacity to be bound by these terms. By using our services, you agree to be bound by the terms of this Agreement and all terms and conditions set forth. If you do not accept the terms of this Agreement, then you may not use our services.

    For simplicity of understanding, these terms are setup in two parts –

    Part 1 – pertains to the bookings you create with Transportation providers to avail the Transport services provided by them

    Part 2 – pertains to our platform and the booking services offered by Airport Rides

    Please read and understand both parts as they make up our entire agreement.

    In this agreement, the words "including" and "include" mean "including, but not limited to."

    Definitions:
    Our platform: collectively means our services offered through the use of www.airportridesanywhere.com website, our mobile and other software applications

    Our services: Airport Rides is an online booking platform that provides travel and transportation arrangement services. Airport Rides is not a transportation provider and does not provide the transport services. Our website is an online booking platform that allows you ‘the user’ to gather information on available ground transportation providers listed on our website (“Transport Supplier”, “Transportation Provider”, or “Transport Provider”)’, their transport vehicles, availability, prices and enables you to make bookings, with a Transportation Provider you select on our platform.

    Airport Rides acts as the agent of each Transport Provider, who is an independent and separate entity to us. Our platform facilitates you making bookings for ground transport services with your chosen Transport Provider. The Transportation Provider is responsible for providing its transport services to you and/or any passengers that are part of your booking (“Transport Services”).

    Airport Rides.in and AirportCabs.us are websites owned and operated by Right Stuff Traders LLC (“Airport Rides“, “us“, “we” and “our“), a company headquartered in Austin, Texas in the United States.

    Airport Rides DOES NOT PROVIDE the Transport Services so we recommend that you satisfy yourself as to the efficacy, safety and legality of those services, including any licensing requirements of the relevant jurisdiction in which those services are provided. This terms & conditions agreement governs your use of our platform and its services.

    Bookings or Reservations: An Transportation Reservation is a limited license, a direct contract between the transport provider and the user of the platform to use the Transportation services of the transport provider.

    Transport services: The transportation services listed by the transport provider on the Airport Rides platform. These services are available be booked by a user on the Airport Rides platform and are to be rendered by the transport provider in compliance with the laws applicable to where the service is to be rendered and in accordance to how the transport service was described & represented by the transport provider on their service listing page on the Airport Rides platform. The Transportation Provider is responsible for providing its transport services to the users and/or any passengers that are part of the booking created by the user.

    Transport Provider: Refers to an individual or organization presenting itself as an independent entity actively involved in the business of offering transport services. This term encompasses individuals, directors, owners, employees, contractors, authorized representatives, affiliates, entities or any person associated with such individual or organization who play a role in providing the transport services offered by the said transport provider.

    User(s): An individual or organization who uses the Airport Rides platform is a user of the platform. The users of our platform from time to time seek the services offered by independent transport providers on the Airport Rides Platform. This user also becomes a client or customer of the transport provider (“Transport client”) once they book the services of the transport provider for their own use or use by another. However, a customer may or may not be the traveler (actual person(s) or individual(s) being transported in the transport service).

    Customer: The user (as defined above) of the platform is a client or customer of transport provider once the user books the services of the transport provider for their own use or for use of the traveler(s).

    Traveler(s) or Passenger(s): Individual(s) using the services of the transport provider. Such individual(s) may or may not be the user of the platform however such persons have authorized the user to book the services of the transport provider on their behalf. Passengers agree to bound by and to comply with the terms of this agreement.


    PART 1 – THIS PART PERTAINS TO THE BOOKINGS YOU CREATE WITH TRANSPORTATION PROVIDERS TO AVAIL THE TRANSPORT SERVICES PROVIDED BY THEM

    Bookings

    Our platform allows you to make bookings for ground transport services directly with a Transportation provider you choose. You understand, acknowledge & agree that we’re not a transport services provider and we do not have any role or responsibility in the execution of the transport services.

    If your booking is made with a Transportation provider outside the United States, you understand and agree that your personal information necessary to make your booking will be transferred to the overseas Transportation Provider in order to service your booking. See our Privacy Policy.

    How to make a booking

    To make a booking, follow the online booking steps at our website. Every transportation provider listing their services on our platform has a dedicated listing page where they provide details about their services including details about their driver, vehicle, licenses and other compliance disclosures. When you choose a transportation provider and pay to book their services, you are agreeing that you have reviewed the transport providers listing in detail including their insurance & licensing details and have determined the listing to be suitable for your requirements.

    You are also agreeing that Airport Rides via its Payment partners may charge the Payment Method (as defined in the Payment Terms). Once a booking confirmation voucher is created, a contract for Transport Services (a "Reservation") is formed directly between you and the transport provider. In addition to these Terms, you will be subject to, and responsible for complying with, all terms of the Reservation, including without limitation, the cancellation policy and any other rules, standards, policies, or requirements identified in the Listing or during checkout that apply to the Reservation. It is your responsibility to read and understand these rules, standards, policies, and requirements prior to booking a transport service with a transportation provider.

    It is your responsibility to ensure that all the details entered when you make a booking are accurate. Neither we nor the Transportation Provider is responsible, if you have not provided correct information regarding your trip. See Cancellations, Refunds and Changes below for more information.

    Corrections made after the booking has been confirmed will be considered to be a change to, or a cancellation of your booking. See Cancellations, Refunds and Changes below for further details.

    By entering your payment details when prompted and clicking ‘confirm payment’, you are entering into an agreement with the Transport Provider–not with us. Please note that, as you are contracting directly with the Transport Provider, you may also be bound by terms and conditions of the Transportation Provider, which you can request from your Transportation Provider directly. You understand, agree and further confirm that you are responsible for the behavior of any passengers you authorize to use the transportation services booked by you and that such passengers agree to be bound by the terms of this agreement and also to be bound by terms and conditions of the Transportation Provider.

    Your booking is confirmed once a booking confirmation voucher is generated. It will include your Airport Rides Booking ID and other details of your booking. A copy of your booking confirmation voucher shall be provided to you and may be emailed to you at the email address provided at the time of your booking. You may need to present your booking voucher to the driver to board the vehicle. Therefore, we recommend that you print your voucher.

    Once your booking is confirmed, your chosen Transportation Provider will contact you to arrange your Pick-up Departure Time and Meeting Point. The Transportation Provider may contact you a few hours before your Pick up Departure Time. To avoid last minute difficulties, we recommend that you contact your Transportation Provider directly to confirm Pick-up / Departure Time and Meeting Point prior to your travel day.

    Price and Payments

    All prices listed on our website are inclusive of taxes, tolls, airport parking, administrative and platform fees.

    The price also includes the baggage allowance displayed to you at the time of booking the transport vehicle with the transportation provider whose services you book. The booking confirmation details on your booking page will list other features (if any) that are included in the price. Any extras or other requests you make after the creation of your reservation, may incur additional costs that must be paid directly to the Transportation Provider.

    The credit or debit card you use to pay the price for the booking will be charged by Airport Rides immediately at the time of confirming your booking.

    The price may be displayed in your preferred currency and is estimated based on the current exchange rates. Final payment will be settled in the currency of choice of the Transportation Provider. The transportation provider’s preferred currency will be displayed on the booking details page. You may be charged a fee by your bank even if the charge is processed in the original currency of your payment method.

    Refunds of the price paid for a booking are permitted only in certain situations–please see the Cancellations policy that applies to your specific booking. Note that fees or charges added by your card provider are not refundable by us or the Transportation Provider. You will need to contact your card provider.

    From time to time we run promotions and discounts. The majority of our discounts are visible on our website. These discounts are not automatically added to the price and so, you will need to activate them by applying the discount claim code. Offers are for limited times only and may be subject to certain conditions.

    Communicating with your transport provider

    Note that after you have created a reservation, you are able to communicate with your transportation provider via your booking confirmation page on our website.

    You must ensure that all communication that you conduct with a transportation provider must be conducted via the messaging tools provided on our platform. All communication sent between you and your chosen Transportation Provider on our platform is timestamped and visible to us. For complete transparency, we recommend that you keep all communication with your transportation provider via the booking confirmation page. If you are communicating with the transportation provider directly, outside of the platform, we have no record of such communication and our dispute resolution team(s) may or may not be able to use it as evidence if we have been requested to help resolve a dispute between you and the transport provider. See section titled “Disputes and complaints” herein under.

    Excess baggage or odd-sized luggage

    Any baggage exceeding permitted dimensions (and other items such as golf bags, skis etc) must be declared at the time of booking and may result in additional fees/charges payable to the Transportation Provider. Extra baggage or baggage exceeding standard dimensions are subject to baggage hold space availability and your booking may be declined if the Transportation Provider is unable to accommodate them. In some cases, You may be offered an option to upgrade your vehicle type to accommodate your baggage requirements.

    Passengers will be liable for all expenses incurred for excess baggage and other items not declared at the time of booking and the Transportation Provider may decline to service your booking. See also Special requests or requirement

    Special requests or requirements

    All special requests are subject to the ability of the Transportation Provider to meet those requests. Any special requests will be passed on to the Transportation Provider. We cannot guarantee that any special request will be met by the Transportation Provider. We recommend you contact the Transportation Provider directly before your Pick-up Departure Time to confirm your special requirements. Extra fees may apply, and if so, you will need to pay them directly to your Transportation Provider. Note the following about certain special requests:

    • Child passengers and child seats:

      • All infants and children count as passengers and must be included in the total number of passengers at the time of the booking. Children are defined as individuals 12 years and below.

      • Child/infant seats are not automatically added or provided with a booking. It is your responsibility to request a child/infant seat at the time of the booking. Some Transportation Providers do not provide child/infant seats and so you should check this with the Transportation Provider. Where they are available, they are subject to the Transportation Provider’s availability and additional fees may apply, and if they do apply you must pay them to the Transportation Provider directly.

      • If you wish to bring your own child seat, you may do so. Please check with your Transportation Provider if your seat is compatible with the vehicle. Neither us nor the Transportation Provider is responsible if your child seat is not compatible with the vehicle.

    • Accessible needs or special needs passengers: At present, we cannot guarantee that vehicles of all Transportation Providers listed on our website are equipped to provide appropriate access to persons with disabilities (including wheelchair access). If you or any of the passengers travelling has any medical condition or disability that may affect your transportation, please contact the transport provider via the contact us form on our website before you make your booking in order to let them know what your special needs/requirements are. Each provider will try their best to accommodate your needs however we cannot guarantee the availability of a transportation provider who is able to meet the requirements.

    Cancellations, changes and / or refunds

  • Cancellations by you: Cancellations can be made directly on our website by visiting the Upcoming trips section and clicking “Cancel my Booking”. Please, ensure that your booking status reflects as cancelled. Your booking is not considered cancelled unless its status shows as cancelled on our website. See Refunds section below.

  • Refunds:

    • Your cancellation policy determines the refund you are entitled receive and the form of payment of the refund. Your cancellation policy is detailed to you in your booking under the ‘Upcoming trips’ section of our website.

    • You are not entitled to any refund on your booking, if you do not use the transportation services for any reason other than due to the fault of the Transportation Provider–see No show by you and/or being late and No show or pick up due to events beyond control of Transportation Provider.

    • If you have booked more than one trip, please be aware that each booking has a separate booking ID and so if you wish to cancel one or more bookings, you need to manage them separately. If you cancel only one reservation and not the other, you will not be eligible for a refund for the non-cancelled reservation.

    • All refunds will be processed as quickly as possible. It can take up to 7 business days for the refunds to be processed. Please note that fees added and charged by your card provider are not refundable by Airport Rides. You should contact your bank or credit card issuing company directly. If you have not received your refund within 7 business days, please Contact Support.

  • Changes requested by you

    • If you want to change a confirmed booking, you can change it in accordance with your cancellation policy. You may make the change request directly to transportation provider via your booking confirmation page on our website.

    • If you want to change your Booking during the non-cancellable period of your booking policy, you must contact the Transportation Provider direct. In this case, your requested change will be subject to the Transportation Provider’s terms.

    • Your booking is not considered to changed until the Transportation Provider confirms the change and it is reflected on our website The time of the change to your booking is considered to be the time that the Transportation Provider confirms the change to you.

    • If you change your booking and this results in the total price of your newly changed booking to change then you shall be liable for the price difference and you must settle this amount directly with the transportation provider.

  • Cancellations or changes made by the Transportation Provider: If, in the unlikely event, your Transportation Provider cancels or needs to make a major change to your booking, we will inform you as soon as reasonably possible after we become aware of this. In this case you will be entitled to a full refund of the price paid by you for the affected part of the trip and we will have no further liability to you.

    Meeting the Transportation Provider

    • Meeting place and time: It is the responsibility of all passengers to wait for the transfer at the location detailed in your booking confirmation voucher, or as otherwise arranged and agreed between you and your Transportation Provider. You should be at that location at least 15 minutes before the Pick-up Departure Time agreed with, or notified by, the Transportation Provider.

    • No show by you and/or being being late: If you do not use the Transport Services (for example you are a “no show”) and you have not cancelled your Booking more than 24 hours prior to your pick-up departure time, you will not be entitled to a refund.

    • Waiting times: Every booking includes 45 minutes of free waiting time beyond which the transportation provider will charge you for waiting time (if they are able to wait). You will be responsible for paying those waiting charges directly to the Transportation Provider. If you believe that you may be delayed you must contact your Transportation Provider as soon as possible. Alternative pickup arrangements are subject to the availability of the Transportation Provider.

    • No show or failed pick up by Transportation Provider: If the Transportation Provider does not arrive to pick you up and has not contacted you about this before your Pick-up Departure Time, you should contact your Transportation Provider as soon as possible. If you cannot contact the Transportation Provider, please make sure you do not miss your flight or other onward connections. Please make alternative transport arrangements to proceed with your travel. Immediately make a record of any evidence of your attempts to contact the transportation provider (screenshots of SMS communication with the provider, screenshots of unanswered phone calls to the Transportation provider or any proof of failed attempts to get in touch with the Transportation provider can be useful). Please notify Airport Rides using our online form as soon as possible with evidence that your driver did not pick you up at the designated pick-up area. If this is due to the fault of the Transportation Provider or their driver you will be entitled to a full refund.

    • No show or pick up due to events beyond control of Transportation Provider: If the Transportation Provider does not pick you up for any reason that is not due to the fault of the Transportation Provider, their driver or is otherwise due to a reason outside the reasonable control of the Transportation Provider or the driver, or if you are delayed for any reason, this may result in the Transportation Provider (or driver) not being able to service your booking. Examples where this is not due to the fault of the Transportation Provider or the driver include your flight or other transport being delayed or canceled, missed flights or other missed transport connections, traffic or road conditions or incidences, government action, industrial action, adverse weather conditions etc. If you are delayed, you must contact the Transportation Provider as soon as possible. Failure to contact your Transportation Provider will be considered a Passenger No-show and you will not be eligible for a refund.

    Travel Insurance

    We recommend that you travel with your own travel insurance which is adequate for your needs.

    Disputes and complaints

    We have defined a clear dispute resolution process in the event there is a dispute or disagreement relating to a transportation service that was booked by you on our platform. Your transportation service contract is a direct contract with your transportation provider and we’re not a party to that contract.

    Your transport provider has authorized us to act as a neutral party in assisting you and your transport provider to arrive at an amicable resolution in the event that you and your transport provider are unable to arrive at a reasonable resolution to a dispute by communicating directly over the platform.

    You here by authorize us to act on your behalf in assisting you and your transport provider to resolve disputes amicably. To take advantage of our dispute resolution process, you must follow the guidelines listed below.

    At the time of your travel, if you experience any problems in connection with the Transport Services, you must contact your Transportation Provider via your booking confirmation page. We require that you raise your complaint about the transport service to the provider within 7 calendar days (day 1 means the day of completion of the trip).

    You further agree and acknowledge that you shall not be entitled to seek the resolution of a complaint regarding any booking after expiry of 7 calendar days (day 1 means the day of completion of the trip), which you hereby acknowledge to be a reasonable period of time to resolve any dispute in that respect. Once you have raised a complaint through your booking confirmation page, The transport provider is responsible to act in earnest and to help resolve your complaint expediently and amicably.

    We recommend that you keep all communication with your transportation provider via the booking confirmation page. If you are communicating with the transportation provider directly, outside of the platform, please be aware you can upload all evidence of your communication as attachments to the booking confirmation page. However, you agree and accept that it will be up to the discretion of our dispute resolution team to determine if such communication can be accepted as evidence during the dispute resolution process.

    In the event that you and the transport provider are not able to arrive at an amicable resolution within 5 business days (day 1 is the day when you raised the complaint within 7 days of completion of the trip) then you may request Airport Rides as a neutral third-party, to assist in facilitating a resolution of the complaint. Our team will review all the information information and evidence exchanged between you and your transport provider on the messaging tools provided on our platform following which we may optionally contact you and the transport provider to get further details. Our goal is to suggest an amicable resolution within 7 business days (days 1 means the day when the complaint was escalated to us for dispute resolution assistance on our platform).

    Failure to notify us or the Transportation Provider concerned of your complaint as quickly as possible may affect our ability to investigate the matter. Please note, that we are able to assist in dispute resolution only in matters that are under our scope according to these Terms and Conditions.

    In the event that you wish to report an issue about our online booking process or our Support Service, please address your complaint to our Support team via the contact us section of the website.

    Our responsibility

    We act as a listing service for the Transportation Providers with whom you may choose to make a your booking. We do not accept responsibility for the actual provision of the Transport Services. The information displayed on our website, concerning the Transportation Provider and Transport Services, including pricing, vehicle type, availability, and any terms and conditions applying to the Transport Services, including the transport service, is provided to us by the relevant Transportation Provider or their agents (other than us). We are not responsible for such information and we rely on the accuracy of the information provided to us by the relevant Transportation Provider.

    Airport Rides (including our employees, officers and directors) takes no responsibility for the acts or omissions of, or for any loss or damage of any kind arising out of or in connection with any booking made with a Transportation Provider or for any loss or damage caused by the Transportation Provider or its drivers, or the performance by them of the Transport Services.

    Despite the above, no provision of these Terms attempts or purports to exclude liability arising under applicable law if, and only to the extent, such liability cannot be lawfully excluded. See Disclaimer

    PART 2 - PERTAINS TO OUR PLATFORM AND THE SERVICES OFFERED BY AIRPORT RIDES

    Using our Services

    You must follow any policies made available to you within our Services.

    Do not misuse our Services, for example, do not interfere with our Services or try to access them using a method other than the interface and the instructions that we provide. You may use our Services only as permitted by law, including applicable export and control laws and regulations. We may suspend or stop providing our Services to you if you do not comply with our terms or policies or if we are investigating suspected misconduct.

    Using our Services does not give you ownership of any intellectual property rights in our Services or the content that you access. You may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos used in our Services. Do not remove, obscure or alter any legal notices displayed in or along with our Services

    In connection with your use of the Services, we may send you service announcements, administrative messages and other information. You may opt out of some of those communications.

    Some of our Services are available on mobile devices. Do not use such services in a way that distracts you and prevents you from obeying traffic or safety laws.

    Your Airport Rides Account


    You may need to create an Airport Rides Account in order to use our Services. To protect your Airport Rides Account, keep your password confidential.

    You are responsible for the activity that happens on or through your Airport Rides Account. Try not to reuse your Airport Rides Account password on third-party applications. If you learn of any unauthorised use of your password or Airport Rides Account, please notify us immediately by email or phone number published on the contact us section of our website

    We may suspend your account at any time that your account is suspected to be misused, found to be used for any unauthorized purpose or suspected to be in violation of Airport Rides terms and conditions of use agreement.

    Connectivity & Availability


    • Internet connectivity - Airport Rides Services may require an Internet connection from a third-party provider in order to use some features. In such cases, your Internet connection is subject to the fees, restrictions, terms and limitations imposed by your provider.
    • Availability - Some Airport Rides Services may be unavailable, vary (by product or geography, for example), be offered for a limited time, or require separate subscriptions

    Governing Law and Venue.


    • If you reside or have your place of establishment in the United States, these Terms will be interpreted in accordance with the laws of the State of Texas and the United States of America, without regard to conflict-of-law provisions. Judicial proceedings (other than small claims actions) that are excluded from the arbitration agreement in Section titled “Dispute Resolution and Arbitration Agreement” must be brought in state or federal court in Austin, Texas, unless we both agree to some other location. You and we both consent to venue and personal jurisdiction in Austin, Texas.

    General


    • Information received: The Airport Rides Software may provide us with information about your use of the Product, and use of Digital Content, other content, and the Services. Information provided to Airport Rides may be processed in the cloud to improve your experience and our services, and may be transmitted to or stored on servers outside the country in which you live.

    • You agree that we may use any information provided by you in conjunction making a booking for Transport Services for distribution to third parties, which may involve the provisions of such information to overseas entities from time to time. We will handle any information we receive in accordance with the Airport Rides Privacy Notice.

    • Social media: Where applicable, by posting or adding any content onto the website, and or our social media accounts, you grant us a perpetual, non-exclusive, royalty-free, irrevocable, worldwide and transferable right and license to use that content in any way (including, without limitation, by reproducing, changing, and communicating the content to the public) and permit us to authorize any other person to do the same thing.

    • Information Provided To Others. You are responsible for any information you provide to others, including third-party Digital Content providers. Use of information you provide to these third parties will be subject to any privacy notice or other terms that they may provide to you.

    • Changes to our Services; Amendments. We may change, suspend, or discontinue the Services, or any part of them, at any time without notice. We may amend any of this Agreement's terms at our sole discretion by posting the revised terms on the Airport Rides website. Your continued use of our Services after the effective date of the revised Agreement constitutes your acceptance of the terms. We are constantly changing and improving our Services. You can stop using our Services at any time, although we would be sorry to see you go. We may also stop providing Services to you or add or create new limits to our Services at any time. We believe that you own your data, and preserving your access to such data is important. If we discontinue a Service, where reasonably possible, we will give you reasonable advance notice and a chance to remove information from that Service.

    • Links to third party websites: We may offer links on the website to the websites of third parties. Such links are provided only as a convenience. We do not review the content of such websites, and neither endorse, nor are we responsible for, any content, advertising, products, services or other materials on or available from such third party websites. You assume full responsibility for your use of third party websites. Such websites may be governed by terms and conditions different from those of Airport Rides, and you should review the terms and privacy policies of those third parties before using their websites.

    • Indemnification: By using our website, you agree to defend, indemnify and hold harmless us, our licensors and partners (including partners, sponsors and advertisers), and their respective employees, officers, directors, or agents from any and all claims, liabilities and expenses, including, without limitation, attorneys’ fees and other legal expenses, whether in tort, contract or otherwise, relating to or arising out of your breach of these Terms, or infringement of the rights of any third party.

    • Termination. Your rights under this Agreement will automatically terminate without notice if you fail to comply with any of its terms. In case of such termination, Airport Rides may immediately revoke your access to the Airport Rides Services. Airport Rides failure to insist upon or enforce your strict compliance with this Agreement will not constitute a waiver of any of its rights.

    Dispute Resolution and Arbitration Agreement


    • Application. This Arbitration Agreement only applies to you if your country of residence or establishment is the United States. If your country of residence or establishment is not the United States, and you nevertheless attempt to bring any legal claim against Airport Rides in the United States, this Arbitration Agreement will apply for determination of the threshold issue of whether this Section 23 applies to you, and all other threshold determinations, including residency, arbitrability, venue, and applicable law.

    • Overview of Dispute Resolution Process. Airport Rides is committed to participating in a consumer-friendly dispute resolution process. To that end, these Terms provide for a two-part process for individuals to whom this Section applies: (1) an informal negotiation directly with Airport Rides’s customer service team (described in section titled “Mandatory Pre-Arbitration Dispute Resolution and Notification” hereinunder), and if necessary (2) a binding arbitration administered by the American Arbitration Association (“AAA”). You and Airport Rides each retain the right to seek resolution of the dispute in small claims court as an alternative to arbitration.

    • Mandatory Pre-Arbitration Dispute Resolution and Notification. At least 30 days prior to initiating an arbitration, you and Airport Rides each agree to notify the other party of the dispute in writing and attempt in good faith to negotiate an informal resolution. You must send your notice of dispute to Airport Rides by emailing it to Airport Rides’s agent for service at [email protected] . Airport Rides will send its notice of dispute to the email address associated with your Airport Rides account. A notice of dispute must include: the party’s name and preferred contact information, a brief description of the dispute, and the relief sought. If the parties are unable to resolve the dispute within the 30-day period, only then may either party commence arbitration by filing a written Demand for Arbitration (available at www.adr.org) with the AAA and providing a copy to the other party as specified in the AAA Rules (available at www.adr.org).

    • Agreement to Arbitrate. You and us agree that any dispute or claim arising from or relating to this Agreement, our Software, or our Services is subject to the binding arbitration, governing law, disclaimer of warranties, limitation of liability, and all other terms in the terms & conditions of Use. Further, We mutually agree that any dispute, claim or controversy arising out of or relating to these Terms or the applicability, breach, termination, validity, enforcement or interpretation thereof, or any use of the Services (collectively, “Disputes”) will be settled by binding individual arbitration (the “Arbitration Agreement”). If there is a dispute about whether this Arbitration Agreement can be enforced or applies to our Dispute, you and us, both agree that the arbitrator will decide that issue.

    • Exceptions to Arbitration Agreement. You and Airport Rides each agree that the following causes of action and/or claims for relief are exceptions to the Arbitration Agreement and will be brought in a judicial proceeding in a court of competent jurisdiction (as defined by Section titled “Governing law & Venue”): (i) any claim or cause of action alleging actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights; (ii) any claim or cause of action seeking emergency injunctive relief based on exigent circumstances (e.g., imminent danger or commission of a crime, hacking, cyber-attack); or (iii) a request for the remedy of public injunctive relief; or (iv) any individual claim of sexual assault or sexual harassment arising from your use of the Airport Rides Platform or Captain Services. You and Airport Rides agree that the remedy of public injunctive relief will proceed after the arbitration of all arbitrable claims, remedies, or causes of action, and will be stayed pending the outcome of the arbitration pursuant to section 3 of the Federal Arbitration Act.

    • Arbitration Rules and Governing Law. This Arbitration Agreement evidences a transaction in interstate commerce and the Federal Arbitration Act governs all substantive and procedural interpretation and enforcement of this provision. The arbitration will be administered by the arbitrator in accordance with the Consumer Arbitration Rules and/or other AAA arbitration rules determined to be applicable by the AAA (the “AAA Rules“) then in effect, except as modified here. The AAA Rules are available at www.adr.org. In order to initiate arbitration, a completed written demand (available at www.adr.org) must be filed with the AAA and provided to the other party, as specified in the AAA rules.

    • Modification to AAA Rules - Arbitration Hearing/Location. In order to make the arbitration most convenient to you, Airport Rides agrees that any required arbitration hearing may be conducted, at your option: (a) in the U.S. county where you reside; (b) in Travis County; (c) via phone or video conference. If the amount in controversy is $5,000 or less, the parties agree to proceed solely on the submission of documents to the arbitrator

    • Modification of AAA Rules - Attorney’s Fees and Costs. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Rules. Either party may make a request that the arbitrator award attorneys’ fees and costs upon proving that the other party has asserted a claim, cross-claim or defense that is groundless in fact or law, brought in bad faith or for the purpose of harassment, or is otherwise frivolous, as allowed by applicable law and the AAA Rules.

    • Arbitrator’s Decision: The arbitrator’s decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court with proper jurisdiction. The arbitrator may award any relief allowed by law or the AAA Rules, but declaratory or injunctive relief may be awarded only on an individual basis and only to the extent necessary to provide relief warranted by the claimant’s individual claim.

    • Jury trial waiver: You and us, both acknowledge and agree that we are each waiving the right to a trial by jury as to all arbitrable Disputes.

    • No Class Actions or Representative Proceedings. You and us, we both acknowledge and agree that, to the fullest extent permitted by law, we are each waiving the right to participate as a plaintiff or class member in any purported class action lawsuit, class-wide arbitration, private attorney general action, or any other representative or consolidated proceeding. Unless we agree in writing, the arbitrator may not consolidate more than one party’s claims and may not otherwise preside over any form of any class or representative proceeding. If there is a final judicial determination that applicable law precludes enforcement of the waiver contained in this paragraph as to any claim, cause of action or requested remedy, then that claim, cause of action or requested remedy, and only that claim, cause of action or requested remedy, will be severed from this agreement to arbitrate and will be brought in a court of competent jurisdiction. In the event that a claim, cause of action or requested remedy is severed pursuant to this paragraph, then you and we agree that the claims, causes of action or requested remedies that are not subject to arbitration will be stayed until all arbitrable claims, causes of action and requested remedies are resolved by the arbitrator.

    • Changes to Agreement to Arbitrate. If Airport Rides changes this Section titled “Dispute Resolution and Arbitration Agreement” after the date you last accepted these Terms (or accepted any subsequent changes to these Terms), you may reject that change by sending us written notice (including by email) within 30 days of the date the change is effective. Rejecting a new change, however, does not revoke or alter your prior consent to any earlier agreements to arbitrate any Dispute between you and Airport Rides (or your prior consent to any subsequent changes thereto), which will remain in effect and enforceable as to any Dispute between you and Airport Rides.

    • In the event that any portion of this Arbitration Agreement is deemed illegal or unenforceable, such provision shall be severed and the remainder of the Arbitration Agreement will be given full force and effect. This Section will survive any termination of these Terms and will continue to apply even if you stop using the Services or terminate your account.

    • You agree to these terms by entering into this Agreement, or by using the Services.

    Disclaimer of Warranties and Limitation of Liability.

    We provide our Services using a commercially reasonable level of skill and care and we hope that you will enjoy using them. But there are certain things that we do not promise about our Services.

    OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OR ADDITIONAL TERMS, NEITHER AIRPORT RIDES NOR ITS SUPPLIERS OR DISTRIBUTORS OR AFFILIATES MAKES ANY SPECIFIC PROMISES ABOUT THE SERVICES. FOR EXAMPLE, WE DO NOT MAKE ANY COMMITMENTS ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTIONS OF THE SERVICES OR THEIR RELIABILITY, AVAILABILITY OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SERVICES “AS IS”.

    THROUGH OUR SERVICES, WE FACILITATE THE BOOKING OF TRANSPORT SERVICES PROVIDED BY THIRD-PARTY TRANSPORTATION SERVICE PROVIDERS. WHILE WE STRIVE TO CONNECT YOU WITH RELIABLE PROVIDERS, WE MAKE NO SPECIFIC WARRANTIES ABOUT THE QUALITY, SAFETY, OR SUITABILITY OF THE TRANSPORT SERVICES ARRANGED THROUGH OUR PLATFORM. WE DO NOT GUARANTEE THE ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICES OFFERED BY THESE THIRD-PARTY PROVIDERS.

    SOME JURISDICTIONS PROVIDE FOR CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES.

    WE ARE NOT LIABLE FOR ANY DAMAGE CAUSED, WHETHER INCIDENTAL, CONSEQUENTIAL OR DIRECT, ARISING FROM THE TRANSPORT SERVICES BOOKED THROUGH OUR PLATFORM. THIS INCLUDES, BUT IS NOT LIMITED TO, PERSONAL INJURY, PROPERTY DAMAGE, OR FINANCIAL LOSS INCURRED DURING THE USE OF THE TRANSPORT SERVICES. YOU AGREE THAT OUR AGGREGATE LIABILITY IN ANY EVENT WITH RESPECT TO ANY CLAIM ARISING FROM OR RELATED TO THIS AGREEMENT OR YOUR USE OF THE SERVICES TO ARRANGE TRANSPORT SERVICES DOES NOT EXCEED THE AMOUNT YOU PAID FOR YOUR BOOKING THAT YOU CREATED BY USING THE SERVICES OF OUR PLATFORM. IF APPLICABLE LAW DOES NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

    TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL IMPLIED CONDITIONS, WARRANTIES, AND TERMS ARE EXCLUDED FROM THESE TERMS.     • THE PAYMENT OF THE COST OF HAVING THE TRANSPORT SERVICES SUPPLIED AGAIN.

    WE WILL NOT BE LIABLE FOR ANY LOSS, INJURY, OR DAMAGE THAT YOU MAY SUFFER IN CONNECTION WITH THE TRANSPORT SERVICES PROVIDED BY THIRD-PARTY SERVICE PROVIDERS BOOKED THROUGH OUR PLATFORM. THIS INCLUDES, BUT IS NOT LIMITED TO, ACCIDENTS, INJURIES, DELAYS, OR ANY OTHER ISSUES RELATED TO THE TRANSPORT SERVICES. WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT YOU MAY SUFFER IN CONNECTION WITH YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, INTERRUPTION OF BUSINESS, OR ANY CONSEQUENTIAL OR INCIDENTAL DAMAGES, IF SUCH LIABILITY CANNOT BE LAWFULLY EXCLUDED UNDER APPLICABLE LAW. YOU ACKNOWLEDGE THAT TRANSPORTATION SERVICES INHERENTLY INVOLVE RISKS, AND YOU ASSUME ALL RESPONSIBILITY FOR EVALUATING THE SUITABILITY, SAFETY, AND QUALITY OF THE SERVICES PROVIDED BY THIRD-PARTY PROVIDERS.

    Airport Rides Platform Content

    Content made available through the Airport Rides Platform may be protected by copyright, trademark, and/or other laws of the United States and other countries. You acknowledge that all intellectual property rights for that Content are the exclusive property of Airport Rides and/or its licensors and agree that you will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices. Subject to your compliance with these Terms, Airport Rides grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to (i) download and use the Application on your personal device(s); and (ii) access and view the Content made available on or through the Airport Rides Platform and accessible to you, solely for your personal and non-commercial use.

    Events beyond our reasonable control

    We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control including, but not limited to, acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, epidemics or disease, strikes or shortages of transportation facilities, fuel, energy, labor or materials.. This condition does not affect your statutory rights.

    Emails and SMS

    You will receive administrative communications from us using the email address or other contact information you provide for your Airport Rides account. Enrollment in additional email subscription programs will not affect the frequency of these administrative emails, though you should expect to receive additional emails specific to the program(s) to which you have subscribed. You may also receive promotional emails from us. No fee is charged for these promotional emails, but third-party data rates could apply. You can control whether you receive promotional emails using the notification preferences in your account settings. Please note that you will not be able to take advantage of certain promotions if you disable certain communication settings or do not have an Airport Rides account. In the U.S. if you consent to receive SMS (text messages) from us, you will be subject to our SMS Terms.

    About these Terms

    We may modify these terms or any additional terms that apply to any of our Services to, for example, reflect changes to the law or changes to our Services. You should look at the terms regularly.
